Service Terms
These Service Terms apply to all access to and use of the Northbased website and the secure Client Portal. By accessing or using the Portal Account, you agree to be bound by these Terms in full.
01Introduction
These Service Terms govern your access to and use of the Northbased website, available at northbased.net, and the secure Client Portal (the “Portal Account”).
By accessing or using any part of the website or Portal Account, you accept and agree to be bound by these Service Terms in their entirety. If you do not agree to these Service Terms, you must not access or use the website or the Portal Account.
02Portal Account and Access
Northbased ApS provides each Client with a dedicated Portal Account through which contracts, retainers, project details, time tracking, work summaries, invoices, and related communications may be managed.
2.1 Security and Responsibility
You are solely responsible for maintaining the confidentiality and security of your login credentials.
Northbased ApS shall not be liable for any loss, damage, or unauthorised access resulting from your failure to safeguard credentials, including the use of weak passwords or the sharing of login details with unauthorised persons.
2.2 Accuracy of Information
You must provide and maintain accurate, complete, and up-to-date business, contact, and payment information.
Upon request, you shall promptly provide documentation reasonably required to verify your identity or your authority to act on behalf of any company, organisation, or other entity you represent.
2.3 Verification and Suspension
Northbased ApS reserves the right to verify any information you provide at any time.
If you fail to keep your information accurate, complete, and current, or if you do not cooperate with reasonable verification requests, Northbased ApS may temporarily or permanently suspend your access to the Portal Account and related Services without prior notice.
03Acceptable Use
You may use the website and Portal Account only for lawful purposes directly connected to your business relationship with Northbased ApS.
You must not:
- Upload, transmit, or distribute viruses, malware, or other malicious code.
- Attempt to gain unauthorised access to the Portal Account, systems, or data.
- Use the Portal Account to harass, threaten, defame, or otherwise harm any person or entity.
- Interfere with or disrupt the operation of the Portal Account, the website, servers, or connected networks.
- Engage in conduct that violates applicable law or infringes the rights of any third party.
Any breach of this section entitles Northbased ApS to suspend or terminate your access immediately, without notice and without limiting any other rights or remedies available to us.
04Availability and Technical Requirements
Northbased ApS aims to keep the website and Portal Account in good working order. However, access is provided on an availability basis only, and we do not guarantee uninterrupted, timely, secure, or error-free operation.
We may suspend, restrict, or otherwise limit access temporarily for maintenance, updates, security measures, incident handling, or other technical reasons, without prior notice and without liability to you.
05Modification of These Service Terms
Northbased ApS may amend or update these Service Terms at any time.
If a change is material, we will notify Clients at least 30 calendar days before the revised Service Terms take effect, using the Portal Account or the registered email address associated with the relevant client relationship.
Your continued access to or use of the website or Portal Account after the effective date of the revised Service Terms constitutes your acceptance of the updated Service Terms.
06Governing Law and Jurisdiction
These Service Terms are governed exclusively by the laws of Denmark, without regard to any rules or principles concerning conflicts of law.
Any dispute, controversy, or claim arising out of or in connection with these Service Terms, the website, or the Portal Account shall be subject to the exclusive jurisdiction of the courts of Denmark.
